  1. LICENSE AGREEMENT FOR THE 
  2. REALPLAYER PLUS 
  3.  
  4.  
  5. IMPORTANT -- READ CAREFULLY: By clicking on the 
  6. Next button or by opening the sealed packet(s) to 
  7. make and utilize copies of the RealPlayer Plus and 
  8. accompanying software ("Software") Licensee agrees 
  9. to be and is hereby bound by the terms of this License 
  10. Agreement ("Agreement").  If Licensee does not agree 
  11. to the terms of this Agreement, Licensee must promptly 
  12. destroy all copies of the Software and accompanying 
  13. documentation ("Documentation") and obtain a full 
  14. refund of any fees paid from Progressive Networks Inc. 
  15.  
  16. I. GRANT OF LICENSE: 
  17.  
  18. Progressive Networks Inc. ("PN") hereby grants to 
  19. Licensee a non-exclusive license to use the Software 
  20. and Documentation subject to the following terms: 
  21.  
  22. Licensee may: 
  23. (i) use the Software on any single computer; (ii) use 
  24. the Software on a second computer so long as the first 
  25. and second computers are not used simultaneously; (iii) 
  26. copy the Software for back-up, archival purposes 
  27. provided any copy must contain all of the original 
  28. Software's proprietary notices. 
  29.  
  30. Licensee may not: (i) permit other individuals to use the 
  31. Software except under the terms listed above; (ii) modify, 
  32. translate, reverse, engineer, decompile, disassemble 
  33. (except to the extent that this restriction is expressly 
  34. prohibited by law) or create derivative works based upon 
  35. the Software or Documentation; (iii) copy the Software or 
  36. Documentation (except for back-up purposes); (iv) rent, 
  37. lease, transfer, or otherwise transfer rights to the 
  38. Software or Documentation; or (v) remove any proprietary 
  39. notices or labels on the Software or Documentation. 
  40.  
  41. II.  SOFTWARE: 
  42.  
  43. If Licensee receives the first copy of the Software 
  44. electronically and a second copy on media the second 
  45. copy may be used for archival purposes only and may not 
  46. be transferred to or used by any other person.  This 
  47. license does not grant Licensee any right to any 
  48. enhancement or update. 
  49.  
  50. III. TITLE: 
  51.  
  52. Title, ownership, rights, and intellectual property 
  53. rights in and to the Software and Documentation shall 
  54. remain in PN and/or its suppliers. The Software is 
  55. protected by the copyright laws of the United States 
  56. and international copyright treaties.  Title, ownership 
  57. rights and intellectual property rights in and to the 
  58. content accessed through the Software including the 
  59. content contained in the Software media demonstration 
  60. files is the property of the applicable content owner 
  61. and may be protected by applicable copyright or other 
  62. law. This license gives Licensee no rights to such 
  63. content. 
  64.  
  65. IV. LIMITED WARRANTY: 
  66.  
  67. PN warrants that for a period of ninety (90) days from 
  68. the date of acquisition the Software if operated as 
  69. directed will substantially achieve the functionality 
  70. described in the Documentation.  PN does not warrant 
  71. however that Licensee's use of the Software will be 
  72. uninterrupted or that the operation of the Software 
  73. will be error-free or secure.  PN also warrants that 
  74. the media containing the Software if provided by PN 
  75. is free from defects in material and workmanship and 
  76. will so remain for ninety (90) days from the date 
  77. Licensee acquires the Software. 
  78.  
  79. NO OTHER WARRANTIES: TO THE MAXIMUM 
  80. EXTENT PERMITTED BY APPLICABLE LAW PN AND 
  81. ITS SUPPLIERS DISCLAIM ALL OTHER WARRANTIES 
  82. EITHER EXPRESS OR IMPLIED INCLUDING BUT NOT 
  83. LIMITED TO IMPLIED WARRANTIES OF 
  84. MERCHANTIBILITY AND FITNESS FOR A 
  85. PARTICULAR PURPOSE WITH REGARD TO THE 
  86. SOFTWARE THE ACCOMPANYING WRITTEN 
  87. MATERIALS AND ANY ACCOMPANYING 
  88. HARDWARE. If any modifications are made to the 
  89. Software by Licensee during the warranty period; 
  90. if the media is subjected to accident abuse or 
  91. improper use; or if Licensee violates the terms 
  92. of this license, this warranty shall immediately 
  93. terminate.  This warranty shall not apply if the 
  94. Software is used on or in conjunction with hardware 
  95. or Software other than the unmodified version of 
  96. hardware and Software with which the Software was 
  97. designed to be used as described in the 
  98. Documentation.  THIS LIMITED 
  99. WARRANTY GIVES LICENSEE SPECIFIC LEGAL 
  100. RIGHTS.  LICENSEE MAY HAVE OTHERS WHICH 
  101. VARY FROM STATE/JURISDICTION TO 
  102. STATE/JURISDICTION. 
  103.  
  104. V. CUSTOMER REMEDIES: 
  105.  
  106. PN's sole liability for any breach of this warranty 
  107. shall be in PN's sole discretion: (i) to replace 
  108. Licensee's defective media; or (ii) to advise Licensee 
  109. how to achieve substantially the same functionality 
  110. with the Software as described in the Documentation 
  111. through a procedure different from that set forth in 
  112. the Documentation; or (iii) if the above remedies are 
  113. impracticable to refund the license fee, if any, 
  114. Licensee paid for the Software. 
  115.  
  116. Repaired, corrected or replaced Software and 
  117. Documentation shall be covered by this limited warranty 
  118. for the period remaining under the warranty that covered 
  119. the original Software or if longer for thirty (30) days 
  120. after the date PN either shipped to Licensee the repaired 
  121. or replaced Software or advised Licensee as to how to 
  122. operate the Software so as to achieve the functionality 
  123. described in the Documentation whichever is applicable.  
  124. Only if Licensee informs PN of the problem with the 
  125. Software during the applicable warranty period and 
  126. provides evidence of the date Licensee acquired the 
  127. Software will PN be obligated to honor this warranty. 
  128.  
  129. VI. LIMITATION OF LIABILITY: 
  130.  
  131. UNDER NO CIRCUMSTANCES AND UNDER NO 
  132. LEGAL THEORY WHETHER IN TORT CONTRACT OR 
  133. OTHERWISE SHALL PN OR ITS SUPPLIERS OR 
  134. RESELLERS BE LIABLE TO LICENSEE OR ANY 
  135. OTHER PERSON FOR ANY INDIRECT, SPECIAL, 
  136. INCIDENTAL OR CONSEQUENTIAL DAMAGES OF 
  137. ANY CHARACTER INCLUDING WITHOUT 
  138. LIMITATION DAMAGES FOR LOSS OF GOODWILL, 
  139. WORK STOPPAGE, COMPUTER FAILURE OR 
  140. MALFUNCTION OR ANY AND ALLOTHER 
  141. COMMERCIAL DAMAGES OR LOSSES EVEN IF PN 
  142. SHALL HAVE BEEN INFORMED OF THE POSSIBILITY 
  143. OF SUCH DAMAGES OR FOR ANY CLAIM BY ANY 
  144. OTHER PARTY. FURTHER, IN NO EVENT SHALL PN'S 
  145. LIABILITY UNDER ANY PROVISION OF THIS 
  146. AGREEMENT EXCEED THE LICENSE FEE PAID TO PN 
  147. FOR THE SOFTWARE AND DOCUMENTATION.  
  148. BECAUSE SOME STATES/JURISDICTIONS DO NOT 
  149. ALLOW THE EXCLUSION OR LIMITATION OF 
  150. LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL 
  151. DAMAGES THE ABOVE LIMITATION MAY NOT 
  152. APPLY TO LICENSEE. 
  153.  
  154. VII.  INDEMNIFICATION 
  155.  
  156. Licensee represents and warrants that it will utilize 
  157. the "Selective Record" feature only for data or content 
  158. for which Licensee has obtained all necessary clearances 
  159. and permissions, or for which the owner of such data or 
  160. content has expressly granted permission to record in 
  161. writing adjacent to such data or content on the owner's 
  162. website.  Licensee assumes the entire risk resulting 
  163. from its breach of this warranty and agrees to hold 
  164. harmless indemnify and defend PN its officers, 
  165. directors, and employees from and against any losses, 
  166. damages, fines and expenses (including attorneys' 
  167. fees and costs) arising out of or relating to any 
  168. claims that the Licensee has recorded and/or 
  169. transmitted materials in violation of another 
  170. party's rights. 
  171.  
  172. VIII. TERMINATION: 
  173.  
  174. This license shall terminate automatically if Licensee 
  175. fails to comply with the limitations described in this 
  176. license.  No notice shall be required from PN to 
  177. effectuate such termination.  On termination Licensee 
  178. must destroy all copies of the Software and 
  179. Documentation. 
  180.  
  181. IX. U.S. GOVERNMENT RESTRICTED RIGHTS AND 
  182. EXPORT RESTRICTIONS: 
  183.  
  184. The Software is provided with RESTRICTED RIGHTS. 
  185. Use duplication or disclosure by the Government is 
  186. subject to restrictions as set forth in subparagraph 
  187. (c)(1)(ii) of The Rights in Technical Data and 
  188. Computer Software clause of DFARS 252.227-7013 
  189. or subparagraphs (c)(i) and (2) of the Commercial 
  190. Computer Software-Restricted Rights at 48 CFR (3) 
  191. 52.227-19 as applicable. Manufacturer is Progressive 
  192. Networks 1111 Third Avenue Suite 2900 Seattle 
  193. Washington 98101. Licensee acknowledges that none of 
  194. the Software or underlying information or technology 
  195. may be download or otherwise exported or re-exported 
  196. (i) into (or to a national or resident of) Angola, 
  197. Cuba, Iran, Iraq, Libya, North Korea, Sudan, Syria, 
  198. or any other country to which the U.S. has embargoed 
  199. goods; or anyone on the U.S. Treasury Department's 
  200. list of Specially Designated Nationals or the U.S. 
  201. Commerce Department's Table of Denial Orders.  
  202. By using the Software Licensee is agreeing to the 
  203. foregoing and is representing and warranting that 
  204. it is not located in under the control of a national 
  205. or resident or resident of any such country or on any 
  206. such list. 
  207.  
  208. X. GOVERNING LAW: 
  209.  
  210. This License Agreement shall be governed by the laws 
  211. of the State of Washington without regard to conflicts 
  212. of law provisions and Recipient consents to the 
  213. exclusive jurisdiction of the state and federal 
  214. courts sitting in the State of Washington. This 
  215. License Agreement will not be governed by the 
  216. United Nations Convention of Contracts for the 
  217. International Sale of Goods, the application of 
  218. which is hereby expressly excluded. 
  219.  
  220. XI. ENTIRE AGREEMENT: 
  221.  
  222. This agreement constitutes the complete and exclusive 
  223. agreement between PN and Licensee with respect to the 
  224. subject matter hereof and supersedes all prior oral or 
  225. written understandings, communications or agreements 
  226. not specifically incorporated herein.  This agreement 
  227. may not be modified except in a writing duly signed 
  228. by an authorized representative of PN and Licensee. 
  229. THE ACCEPTANCE OF ANY PURCHASE ORDER 
  230. PLACED BY LICENSEE IS EXPRESSLY MADE 
  231. CONDITIONAL ON THE CONSENT OF 
  232. LICENSEE TO THE TERMS SET FORTH HEREIN.
